General Terms and Conditions (GTC)
1 Scope – Validity
(1) These General Terms and Conditions (hereinafter “GTC”) in their current version apply to all events (hereinafter “Events” or “Showdowns”) organized by Your Showdown GmbH, Ringbahnstraße 32-24, 12099 Berlin, Tel.: +49 30 2000 499 22, www.yourshowdown.com, info@yourshowdown.com, represented by the managing directors authorized to represent the company, Maximilian Muhle and Philipp Dieckmann (hereinafter “Organizer,” “we”). They also regulate the legal relationship between the event participants (hereinafter “Participant” or “Customer,” “You”) and the Organizer. These GTC also apply to additional services provided, particularly the rental of various equipment.
(2) Any statements made by a Participant to the Organizer must be directed to the address specified in paragraph 1.
2 Definitions
(1) Showdown: A game or event format called “Game Show Event” offered by Your Showdown GmbH, which can be booked independently of additional services such as venue rental or catering. (2) Regular Showdown: A Showdown booked exclusively as a standalone event with basic beverage service, without additional services such as venue rental or catering. (3) Package Prices: A total price per participant that includes all services, such as catering, venue rental, or other services. (4) Minimum Participant Number: The minimum number of participants specified in the offer or contract, which will be invoiced regardless of the actual number of attendees. Changes to the minimum participant number after the contract has been concluded are excluded. (5) Venue Rental: The booking of an event space, either independently or in combination with a Showdown.
3 Contract Conclusion (1) Customers can select and book events on the website mentioned above. A separate product description is provided for each event on the respective website. (2) Registration for events with specified dates can be made via email, the registration form on our homepage at https://yourshowdown.com/buchen/, or by phone. The contract is considered accepted by us when we send a confirmation email to the email address provided at the time of booking. The offers on the website are non-binding. By booking the desired date, you submit a binding offer to conclude a contract. Acceptance occurs through a confirmation email sent to your provided email address, confirming receipt of the binding booking. Each booking is binding upon contract conclusion and obligates payment. (3) A contract and thus a binding agreement regarding the individual services only come into effect if the Organizer confirms the Customer’s booking in writing. The Organizer may refuse a contract without stating reasons. If a third-party provider withdraws from the contract, the Organizer is not obliged to provide the service. In this case, the Customer will receive a refund minus any incurred costs.
4 Scope of Services (1) The specific services to be provided are determined by the respective offer. (2) The concluded contract entitles the Customer to entry and use on the valid date and during the booked validity period. Please arrive approximately 15 minutes before the start of your Showdown. Late arrivals will be deducted from the Showdown duration without the right to an extension or price reduction. (3) Additionally, the Organizer rents out event spaces. The rental object must be returned immediately at the end of the rental period. The application of § 545 BGB (German Civil Code) is excluded. Damages or late returns are subject to additional costs.
5 Prices and Payment Terms (1) All prices are gross prices, including VAT, and are determined by the respective service description on the website. The purchase price for bookings via the website is due immediately upon ordering. (2) The Organizer issues an invoice for the booked event, which is sent via email if the Customer booked through the website. For bookings through a respective sales partner, the partner’s payment system applies. The invoice must be fully paid before the service is rendered. (3) Online payment processing is handled by our partners PayPal and Stripe. Payments via invoice are due within 14 days. The Customer and the payment provider are responsible for the payment process. We are not liable for any technical issues on the part of our partners.
6 Liability Exclusion and Force Majeure (1) Events take place according to the Organizer’s organizational guidelines. (2) If the Organizer is unable to conduct an event due to circumstances beyond its control, the Participant has no right to claim damages. The same applies if an event is interrupted due to such circumstances. (3) The Organizer is not liable for damages unless caused by gross negligence or intent, except for damages resulting from the Organizer’s failure to fulfill a main contractual obligation or in cases of personal injury. (4) Participation is at the Participant’s own risk. The Organizer is not liable for injuries caused by other participants or third parties unless gross negligence by the Organizer is proven. (5) The Organizer assumes no liability for lost items in event spaces. (6) The Organizer remains liable for gross negligence in selection. (7) If the Organizer or a third-party provider is unable to perform the owed service due to force majeure (e.g., war, natural disasters, failure to meet the minimum participant number, or illness of the instructor), the obligation to perform is suspended for the duration of the hindrance. This also applies to any related costs such as accommodation, travel, or expenses.
7 Cancellations of Regular Showdowns Without Venue Rental and/or Catering (1) Applies to events booked via the website, phone, or email as “Showdowns” offered by Your Showdown GmbH. (2) Does not apply to events with venue rental and/or catering confirmed by a written offer. (3) Contracts for event tickets with a specified date or period are excluded from the right of withdrawal under § 312g Abs. 2 Nr. 9 BGB. The following cancellation policies are goodwill provisions. (4) Cancellation up to 14 days before the Showdown is free of charge. (5) Cancellation between 14 and 7 days before the Showdown: 75% refund as a voucher. (6) Cancellation between 7 days and 48 hours before the Showdown: 50% refund as a voucher. (7) Cancellation less than 48 hours before the Showdown: 25% refund as a voucher.
§ 8 Cancellations for Events with Venue Rental
For events that include an explicit venue rental and/or catering and are concluded through a written offer from Your Showdown GmbH, the following, deviating cancellation rules apply:
- If the tenant does not hold the event at the agreed time for a reason not attributable to Your Showdown GmbH, they are obligated to pay a cancellation fee based on the agreed usage fee. The same applies if the tenant withdraws from the contract or terminates it extraordinarily without having an individually agreed or legally mandated right of termination or withdrawal. The cancellation fee in such cases amounts to:
- Up to 56 days before the event: 0%
- Between 56 and 28 days before the event: 80%
- Thereafter: 100% of the agreed fees
- Plus any costs incurred through the commissioning of third parties (service providers, suppliers, etc.).
- After accepting an offer, reductions in the number of participants are possible free of charge up to 14 days in advance. This will be reflected in the billing of beverage and meal packages. The venue rental remains unaffected.
- Reductions in the number of participants less than 14 days before the event are not permitted.
§ 9 Cancellations for Events with Package Pricing
For events that include an all-inclusive package price per person and are concluded through a written offer from Your Showdown GmbH, the following, deviating cancellation rules apply:
- If the tenant does not hold the event at the agreed time for a reason not attributable to Your Showdown GmbH, they are obligated to pay a cancellation fee based on the agreed usage fee. The same applies if the tenant withdraws from the contract or terminates it extraordinarily without having an individually agreed or legally mandated right of termination or withdrawal. The cancellation fee if the event does not take place amounts to:
- Up to 56 days before the event: 0%
- Between 56 and 28 days before the event: 80%
- Thereafter: 100% of the agreed fees
- Plus any costs incurred through the commissioning of third parties (service providers, suppliers, etc.).
- After the contract is concluded by accepting the offer, the minimum number of participants specified in the offer applies. This will be stated in writing in the offer.
- Reductions in the number of participants below the minimum number are not possible.
- Reductions down to the minimum number are free of charge up to 14 days in advance.
- Between 14 and 7 days before the event, 50% of the package price will be charged for reduced participants.
- Less than 7 days before the event, the full package price is due for all booked participants.
§ 10 Catering – Exclusivity
- a) The entire catering for events of any kind on the premises or in the rooms of Your Showdown GmbH is exclusively the responsibility of Your Showdown GmbH or its designated caterers/service providers. This applies particularly to all gastronomic needs—drinks, food, tobacco, ice cream, confectionery, etc. The tenant is not entitled to provide these services themselves or to obtain them from third parties without prior written approval from Your Showdown GmbH.
- b) For events where food and/or drinks are served, the tenant must confirm the number of participants and the food/drink selection in writing to Your Showdown GmbH no later than 14 days before the event.
- c) The tenant may not bring their own food and beverages to events unless this has been agreed upon in advance.
§ 11 Parking
Your Showdown GmbH is not obliged to provide parking spaces, especially not in a sufficient number for visitors to the respective event.
§ 12 Non-Smoking Policy
- a) Smoking is prohibited in all premises of Your Showdown GmbH (except on the rooftop terrace). The tenant is responsible for ensuring that visitors comply with the smoking ban.
- b) Violations of non-smoking regulations can be punished by the relevant authorities as administrative offenses, including against Your Showdown GmbH. The tenant must indemnify Your Showdown GmbH upon first request, insofar as they or their agents violate these agreements.
§ 13 Entry Restrictions Due to Intoxication
To protect our guests and staff, we reserve the right to deny entry to individuals who show signs of intoxication. This measure ensures a safe and pleasant environment for all attendees. Please note that if entry is denied for this reason, the full price for the planned stay or booked service will still be charged. Refunds or rescheduling are not possible. We appreciate your understanding and cooperation in this matter.
§ 14 Wi-Fi Provision
- The tenant is not permitted to set up their own wireless networks or operate Wi-Fi access points without prior approval. If such networks are activated without permission, they may be shut down without prior notice.
- Tenants who use the internet connection (LAN or Wi-Fi) provided in rental properties operated by Your Showdown GmbH, or offer it to their guests/visitors, are responsible for ensuring that no misuse occurs. This includes violations of copyright laws, the distribution or downloading of protected or prohibited content, or visiting websites with criminally relevant material. If Your Showdown GmbH is held liable for violations by the tenant, their event attendees, guests, or other users, the tenant shall indemnify Your Showdown GmbH against all financial claims, including any legal costs.
§ 15 Photography and Video Recording at the “Your Showdown Tournament”
- During the “Your Showdown Tournament,” one of our special event formats, photo, film, and video recordings will be made for documentation, promotion, and marketing purposes. These recordings may be published in various media (such as print, websites, social media) to promote the “Your Showdown Tournament” and report on the event.
- By registering, participants consent to photo, film, and video recordings being used for documentation, promotional, and marketing purposes. If you do not wish to be recorded or for such recordings to be used, you may object at any time. Please inform us in writing before the event or notify the responsible event staff on-site. Your objection will not affect your participation in the event.
- Protecting your privacy is important to us. If you do not want to be recorded during the “Your Showdown Tournament,” please inform the responsible event staff before the tournament begins.
- Please note that the “Your Showdown Tournament” is a public event, and we cannot guarantee that no recordings of participants will be made.
§ 16 GEMA and Artists’ Social Security Contributions
The timely registration and payment of fees for the performance or playback of works protected by related rights with GEMA (Society for Musical Performing and Mechanical Reproduction Rights) or GVL (Society for the Exploitation of Performance Protection Rights) are the sole responsibility of the tenant. Before the event, Your Showdown GmbH may require written proof of event registration with GEMA or GVL from the tenant.
If the tenant is unwilling or unable to provide proof of fee payment, Your Showdown GmbH may require the payment of a security deposit equal to the anticipated GEMA or GVL fees no later than 14 days before the event.
The registration and proper settlement of artist social security contributions are also the sole responsibility of the tenant.
§ 17 Final Provisions
- For business customers, German law applies exclusively, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for such disputes is the location of the event organizer.
- If individual provisions of this contract are invalid or unenforceable, the validity of the remaining provisions shall not be affected. The parties shall replace such provisions with valid and enforceable ones that closely align with the intended meaning and economic purpose at the time of contract conclusion. The same applies in the event of contractual gaps.
